For General Release:

The Board of Directors of the AGG is pleased to announce that the Board has been expanded to nine Directors.  The new Directors are: Michael Mezalick of Philadelphia, PA; John Raynal of Natural Bridge Station, VA; E. Scott Taylor of Richmond, VA; and Cynthia Williams of Washington, DC.  These four new Directors join existing Directors: Arthur Femenella of Annandale, NJ; Mary Clerkin Higgins of New York, NY; Barbara Krueger of Hartland, MI; Vic Rothman of Bronxville, NY and Maria Serpentino of Needham, MA.

The American Glass Guild is a not-for-profit corporation in the State of New Jersey.  We are in the attorney review phase for our 501c3 application to the IRS.  Prior to the 2008 Conference, the first officers of the AGG will be elected by the Board from the current directors.  In addition to finalizing plans for the AGG 2008 Philadelphia Conference, the Board is finalizing the first set of bylaws for the organization.

The Board is in the process of setting up committees that will be providing important assistance to the Board towards the work of running the organization.  We appeal to all members that may have an interest in serving on a committee to contact us at
info@americanglassguild.org .  Our current standing committees are: Education, Executive, Finance, Long-Range Planning, Scholarship, Membership, and Nominating.  There will be sub-committees as well such as: Public Relations, Scholarship Fund, Speaker Liaison, Strategic Alliance, New Work, Conservation, etc.  Please let us know on what committees you wish to serve with a method of contacting you.

The AGG is looking forward to an exciting year in which we will bring the organization to the next level.  The Board extends an open invitation to those that are not presently members to join.  To our present members,  we invite you to become more active in the organization.

Sincerely,

The AGG Board

The AGG Board has a clear vision of how we can maintain and expand upon our Mission Statement.  To this end, we are inviting members to participate more fully.  The AGG is a young organization with very lofty goals.  As in any young organization, it is important that there is clear and strong leadership by those with a firm grasp of the mission of the organization to get the programs, events and systems into motion.   Once sufficient momentum has been built and sustained, it is possible and advisable for the organization to encourage a more broad participation of all members.

We are developing the bylaws that will enable the AGG to function as a stand-alone entity, no longer dependant on a few to guide its growth.  To this end, we have established the voting procedures as follows:

1.      The first group of officers will be elected from the present group of nine directors. This follows the logic put forth in paragraph one above.
2.      The present directors and the newly elected officers will govern the AGG until the 2009 Conference.
3.      At the 2009 Conference, a number of the Director positions will be open for election (this will be a minimum of four positions).
4.      A nominating Committee will present a slate of nominees for the vacated director positions.  The number of nominees presented in the slate will be equal to or greater than the number of open positions plus one (e.g. for 2009, there will be at least five nominees to fill the four open positions.  There may be more than five, but not less than five).  This ensures a true election.
5.      The nominees will be voted on by the full membership.
6.      Once the vacated director positions are filled by the vote of the full membership, the Board of Directors will meet and elect the officers from within the Board.   Newly elected directors will be eligible for election as an officer.
7.      The short version is: the officers of the AGG will be elected by the board from a pool of directors that have been elected by the full membership.  Election of officers will occur at a meeting of the Board after the meeting of the General membership that elects the new directors.

The above procedures were determined after considering many options.  In addition to the logic presented above, it is important to understand that the AGG is an educational organization as clearly stated in its Mission Statement.  We are not a trade organization; we do not represent our members as lobbyists or arbiters in disputes.  Many educational organizations elect the officers from their boards.

In the future, as the AGG continues to develop, the voting procedures may change.  The mechanism to make this type of change is already in the bylaws, and is in the final control of the members.

The Board welcomes your comments and questions regarding the above.
